Terms of Service
This Agreement is entered into between Megan Bayliss (photosbymegangrace) hereinafter referred to as the "Photographer", and yourself, hereinafter referred to as the "Client*.
1. Services Provided
The Photographer agrees to provide photography services as agreed upon, including but not limited to photography, consultancy and videography.
2. Independent Service Provider Status
The Photographer is an independent service provider and neither the Photographer no the Photographers employees or contract personnel are, or shall be deemed, the Client’s employees. In its capacity as an independent service provider the Photographer agrees and represents, and Client agrees as follows:
Photographer has the right to perform services for others during the term of this Agreement
Photographer has the sole right to control and direct the means, manner and method by which the services required by this agreement will be performed.
Photographer has the right to hire assistants as sub-service providers or to use employees to provide the Services required by this Agreement.
Neither Photographer or service provider employees or contract personnel shall be required to wear any uniforms provided by the Client.
The Services shall be performed by Photographer, service providers employees or contract personnel, and Client shall not hire, supervise, or pay any assistants to help Photographer.
Neither Photographer or service providers employees or contract personnel shall be required by client to devote full time to the performance of the services required by this Agreement
3. Ownership of Images
All images captured during the session(s) remain the exclusive property of the Photographer. The Client is granted a personal, non-commercial license to use the images. Should the client wish to sell the images or have ownership this will need a separate agreement and compensation.
4. Usage and Credit
The Client agrees to give proper credit to the Photographer in all uses of the images, including social media, publications, and any other public display. This includes tagging the Photographer's social media accounts where applicable.
5. Model Release
The Client grants the Photographer the right to use the images for promotional purposes, including but not limited to online portfolios and marketing materials.
6. Payment and Cancellation
Payment terms and cancellation policies are as follows:
50% non refundable deposit to secure shoot date
remaining figure to be paid with 14 days of shoot
images/video content will not be released to Client until completion of payment
7. Delivery
Turnaround time is approximately 14 days.
Delivery of artwork and footage via Google Drive folder with access for 7 days after delivery date. After this date the images will be removed and there is no guarantee that future access will be provided due to other commitments.
8. Confidentiality
Both parties agree to keep confidential any information obtained during the provision of services.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
10. Termination
Either party may terminate this Agreement with written notice if the other party breaches any material term or condition.
By booking, both parties acknowledge and agree to the terms outlined in this Agreement.
